MINUTES OF THE FTR
BOARD OF DIRECTORS’ MEETING

A meeting of the Florida Trail Riders Board of Directors was called to order at approximately 8:30 AM on August 21, 2004 at the Hilton Walt Disney World Resort, 1751 Hotel Plaza Boulevard, Lake Buena Vista, Florida. The President determined a quorum was present. Roll call was as follows:

I. Reports of officers and committees

Allen provided the Treasurer’s Report and the results of the Finance Committee appointed at the last Board meeting. Although the committee was not able to finalize handout materials due to Hurricane Charlie, the committee did complete an analysis looking back five years on expenses and income. They looked for ways to save money and ways for potential revenue. This was to address an annual operating deficit of the General Fund totaling almost $20,000, even after adjusting for electronic scoring and other investments. The committee considered several cuts and increases to revenues such as increasing the head-tax or the membership dues. After considering all the costs associated with providing an FTR membership, the committee recommended an increase to membership dues. Other sources of revenue will also be pursued such as advertising on the website, FTR merchandise, and sponsor support.

Mike gave the Hare Scrambles Competition Committee report and started off by asking James (JR) Rowland, H/S Referee, to report on pit riding issues. JR outlined new steps to be taken this year to improve H/S events. He will be requiring that all 3 referees are ready to go as defined in the rulebook before allowing a race to start. Mike explained the need for more Board members to be more active in patrolling events. Joe Steidl will be heading a special crew to enforce the pit riding rules and asks for strong support from all officials.

Sam provided the Enduro Competition Committee report and started by thanking Lee Daley for his prior service as Enduro Chairman. He announced Chris Hill as the new scorekeeper and Dave Wildner as the new referee for the series. With ten events this competition season, Sam will be pushing for two more by next season. The Enduro Committee is looking for another club to host an Enduro with property potentially available from SJWMD. Sam also reported that the committee was looking to get mini Enduros going next season.

Jim Edgar offered the Motocross Competition Committee report by saying they are looking into ways to generate more riders for the FTR and more excitement.

Jim Wilder provided a Membership Committee update. He provided an update on our efforts to reach out to non-competition riders through the FTR Fun Run event. Some discussion was held about the possibility of structuring a non-competition membership, which would also help raise money for the FTR General Fund. Further discussion will be necessary before a detailed proposal can be made to the Board.

Jack provided an update on Land Use. Anyone who can make it was asked to attend the September 13th meeting in St Lucie County to support the proposal for an OHV park in that county. Regional groups have been formed to evaluation sites for future proposals for OHV sites. Henry County is currently awaiting approval for an OHV Park.

Jack moved we adjourn for a 5 minute break at 10:50 AM. The motion passed.

The President called the meeting to order and determined a quorum was present at 10:58 AM.

II. Unfinished business

The following proposed changes to the Constitution were accepted by the Board at the last meeting, published in the FTR magazine, and now proposed by Randy for final Board approval before submitting to the General Membership meeting where a two thirds vote will be required to pass:

Mike moved we change Page 5 Constitution Changes, Chapter 1, Article XIV, Section I-E Sanctions, paragraph 4. The change is from $500,000 to $1,000,000. The motion passed.

Mike moved we change Page 7 Chapter II Definitions. “Division” changes to read: “A, B, and C”. “Class” changes to read: “ A riders Ability, Age, Equipment, or Sex grouping”. Add to definition: “Officials – All elected Officers, Committee Chairmen, Scorekeepers, and Referees”. The motion passed.

Mike moved we change Page 10 Chapter II H Fees 4. Change the sentence beginning “At Hare Scrambles…” to read “At Hare Scrambles an additional fee of $3 per rider will be collected for a fund to update, maintain, and staff the electronic scoring and signup equipment. The motion passed.

Allen moved we ratify the following proposal:

D. Meetings
1. Each committee will meet during the fourth quarter to suggest select sanctions applications for the following year and to conduct other committee business.

E. Sanctions
1. A General FTR Sanction Meeting will be held in the fourth quarter of each competition year to approve a schedule of events and grant sanctions for the ensuing competition year. The exact time and place will be announced in the FTR Magazine and on the official FTR website at least 30 days in advance. The Competition Committees will meet jointly to resolve conflicts in the proposed schedule, giving priority to enduros. Upon establishment of a schedule agreed upon by a majority of the joint Competition Committees, the schedule and previously selected sanction applications shall be presented to the Board of Directors for approval of the schedule and granting of sanctions. There shall not be more than 12 Enduros, 14 Hare Scrambles or 14 Motocross events per year sanctioned by FTR. ……

2. Prior to the General FTR Sanction Meeting, the competition committees will meet to accept sanction applications for their areas of interest. Each competition committee must select which sanction applications it will present at the General FTR Sanction Meeting. Under no circumstance may a committee select and present more applications for events than the number of events allowed by paragraph 1. above. Each competition committee will also approve a tentative schedule to be presented to the General FTR Sanction Meeting. The agreed-to sanctions selected sanction applications and tentative schedules will be presented to the General FTR Sanction Meeting for review and approval.

6. FTR may refuse to grant a sanction, and may withdraw or cancel a sanction already granted, for any reason which FTR deems to be in the best interest of the sport, including, without limitation, the violation of any rules in this book. FTR may withdraw or cancel a sanction already granted, if the Executive Committee determines it would be in the best interest of the sport to withdraw or cancel the sanction. No sanction already granted may be withdrawn or cancelled without at least 2 weeks notice in the FTR magazine and/or the official FTR website of the intention to withdraw or cancel said sanction. The affected promoter shall also be notified and allowed to attend and speak at the Executive Committee meeting at which the final vote on whether to withdraw or cancel will be made.

Article X
There will be a minimum of two three Board of Directors meetings each year. The first during the first third quarter of the competition year, and the second during the third fourth quarter of the competition year for the sole purpose of granting sanctions for the ensuing competition year, and the third at the banquet, preceding the Annual General Membership meeting. The second meeting will be the General FTR Sanction Meeting. Additional meetings may be called by the Executive Committee or 50 percent of the Board of Directors.

The motion failed.

III. New Business

Mike moved we increase membership dues effective March 1, 2005 to $50 for Adults and $25 juvenile. The motion passed.

Jim Edgar moved we change the current MX rule from “3. To promote rider turnout, DNF’s will not be given as long as rider completes one lap. Rider will receive last place points. In the event of more than one DNF rider, the most number of laps completed will determine finish order.” To read as follows: “3. As an event consists of two moto’s, a rider will be awarded one-half total points if he/she finishes only one moto. The rider will receive no points if he/she does not start or does not finish either moto.” The motion passed.

Jim Edgar moved we change the current MX rule from “E. Year-end Motocross overall awards will be based on over all total points in a single class during the season for one aware in each of the A, B, and C divisions and one award for the total of combined classes based on best 70% in each of the riders classes.” To read as follows: “E. Total points toward FTR Motocross Overall Series High Point will be determined by the best combined scores of a rider with an adult membership, based on best 70% in each of the riders classes. Year-end Motocross overall awards will be based on over all total points in a single adult class during the season for one aware in each of the A, B, and C divisions. To qualify for year-end awards in the FTR Motocross Series, a rider must enter at least 50% of the sanctioned events.” The motion passed.

Jim Edgar moved we offer a One-Day Motocross Pass. Proposed Page 7 Chapter II under Definitions. Insert below Juvenile Membership. One-Day Adult Motocross Pass, designed for one person to be used the date of the purchase. Person will be scored for the day’s overall results however, said person will be removed from overall FTR points (i.e. rider places 5th overall for the day; all riders finishing behind said rider will be given FTR series points for one position higher). This One-Day Pass will be offered at a rate to be determined annually, but never less than one-half the standard adult FTR membership rate. The motion failed.

Jim Edgar moved we change Page 8 Chapter III Section C. Motocross… 12-15….. 86cc-125cc….. 12-15 to read as follows: “Youth 13-15…. 86cc-125cc….. 13-15” The motion passed.

Jim Edgar moved we add to Chapter IX Motocross Rules, Section C Event Rules, Paragraph 4 to add a line G: “...Quads are to have a operating tether kill switch and nerf bars with nets to compete.” The motion passed.

Jim Edgar moved we change Page 8 Chapter III Section C Paragraph 1 under Motocross to insert: “Girls 65-105cc 9-12” and on Page 10 Chapter II Section J Number 6 Equipment insert: “Girls 65-105cc 9-12” and on Page 24 Chapter XII Motocross Championship Series insert: “Girls 65-105cc 9-12” The motion passed.

Jim Edgar moved we add a Quad Rider Representative for Motocross. Page 4 Chapter I Article XIV under B. Members: Quad Division. The motion passed.

Jim Edgar moved we change the following sections to reflect the proposed MX classes listed below: Page 8 Chapter III Section C Motocross, Page 10 Chapter II Section J Number 6 Equipment, Page 24 Chapter XII Motocross Championship Series Classes, Page 24 Chapter XII Motocross Championship Series Classes. He also proposed to delete:

B. Championship Series Points System
1. Beginning with the sentence, "Any rider will be awarded....", Delete all. Replace with, "Riders completing within 1 lap of the winning rider for their class will receive full position points. Riders completing less than 2 laps from the winning rider in their class will receive fractional position points. For example: A rider completing 3
laps of a possible 5 lap race will receive only 3/5ths of their position points."
3. Delete all. Replace with, "Each class will be allotted a maximum time to complete the course and be timed.
In Pee Wee B and C the course will be closed to start additional laps 15 minutes after the start.
In Pee Wee A the course will be closed to start additional laps 20 minutes after the start.
All other Saturday races will be allotted 90 minutes to complete the course and be timed. The course will be closed to start additional laps at 90 minutes from the time the first row leaves the start minus the time of the lead riders first lap.
All Sunday races will be allotted 2 hours to complete the course and be timed. The course will be closed to start additional laps at 2 hours from the time the first row leaves the start minus the time of the lead riders first lap.

Mike moved we change Pg. 19, C. Rider Advancement, Paragraph 7 to read: "Beginner class riders will advance to the next higher division after accumulation of one 1st place, three top 5 finishes, or 8 starts. This promotion will take effect immediately. The Beginner will carry 50% of their accumulated points into the C division and no points to any other division.” The motion passed.

The meeting was adjourned at approximately 12:55 PM.
